📋 Rapid Truck Recovery Service Agreement
RTR Terms and Conditions
Important: Please read this agreement carefully before signing. This document establishes the terms under which Rapid Truck Recovery ("RTR") will provide commercial vehicle recovery and driving services to the Client.
1. Parties
This Service Agreement ("Agreement") is entered into between:
- Rapid Truck Recovery (RTR) ("Service Provider")
- Client Company ("Client")
2. Services
RTR agrees to provide the following services to the Client:
- Emergency CDL driving services for abandoned or stranded commercial vehicles
- Fly-in recovery operations to retrieve trucks and complete urgent loads
- Professional driving services in compliance with all DOT regulations
- Timely completion of assigned recovery missions
3. RTR's Responsibilities
RTR agrees to:
- Source and refer qualified CDL drivers to the Client for each assignment
- Provide driver contact information and availability in a timely manner
- Coordinate logistics and scheduling between the Client and the driver
- Act as the point of contact for service requests and communication
4. Fees and Payment
The Client agrees to compensate RTR as follows:
- Base recovery and driver deployment fee: $2,500
- Per-mile rate or per-job rate as agreed upon for each assignment
- Reimbursement for approved travel expenses (airfare, lodging, fuel, def, tolls, and repairs)
- Payment terms: 50% of the contract amount due at signing. Balance due the day before delivery.
- All payments subject to proper documentation and receipts
5. Client Responsibilities
Because the driver will operate under the Client's DOT number, the Client is solely responsible for:
- Conducting a Motor Vehicle Record (MVR) check on the referred driver prior to dispatch
- Verifying the driver's CDL, DOT medical certificate, and Hours of Service eligibility
- Maintaining commercial auto insurance coverage covering the driver and vehicle under the Client's DOT authority
- Ensuring the driver meets all compliance requirements under the Client's carrier profile
- Providing timely and accurate information regarding the vehicle and recovery location
- Providing access to the vehicle and any necessary documentation
6. Insurance and Liability
The parties acknowledge that:
- The driver operates under the Client's DOT number and authority; all associated regulatory and insurance obligations belong to the Client
- Commercial auto insurance covering the driver and vehicle is the sole responsibility of the Client
- RTR is not responsible for driver compliance, licensing verification, or MVR results — those are the Client's obligation prior to dispatch
- RTR acts solely as a referral and coordination service and assumes no liability for driver conduct, vehicle condition, or cargo
- The Client agrees to indemnify and hold harmless RTR from any claims, fines, or losses arising from the driver's operation under the Client's DOT authority
7. Confidentiality
Both parties agree to maintain confidentiality of:
- Pricing structures and financial information
- Proprietary business methods and processes
- Client and driver information
- Any other confidential or sensitive information disclosed during the engagement
8. Term and Termination
This Agreement:
- Begins on the date of execution and continues until the services are completed or terminated
- May be terminated immediately for cause (breach, non-payment, safety violations)
- Obligations regarding confidentiality and payment survive termination
9. Compliance
RTR agrees to ensure all services are performed in compliance with:
- All federal, state, and local laws and regulations
- DOT and FMCSA regulations
- Client-specific requirements and protocols where feasible
